This license agreement describes your rights and the conditions under which you may use Hartley DSP software. Hartley DSP is a trading name of Hartley Works Ltd (England and Wales). By installing or using the software, you agree to these terms. If you do not agree, do not install or use the software.
1. Applicability
This agreement applies to all Hartley DSP software, including any version you may use during a trial period and any version for which you hold a purchased license, including updates and supplements, unless other terms accompany such versions or updates.
2. License Grant
Hartley DSP software is licensed, not sold.
When you purchase a license, you receive a personal, non-exclusive, perpetual license to use the purchased version of the software on up to three (3) devices. The license is granted to you as a named individual; use of the software by anyone other than the designated licensee is not permitted. You should protect your license key from misuse.
3. Updates and New Versions
Your license includes free updates within the same major version (for example, from version 1.0 to 1.1, and so on), which typically include bug fixes and minor improvements. Upgrading to new major versions (for example, from version 1.1 to version 2.0) will require a separate purchase.
4. Restrictions
You may not:
- Redistribute, resell, sublicense, or share license keys.
- Reverse engineer, decompile, or disassemble the software, except where permitted by applicable law.
- Use the software for automated processing services (for example, online mixing or mastering, AI training) without prior written agreement from Hartley DSP.
- Use the software to create a competing product or service.
All rights not explicitly granted remain with Hartley Works Ltd.
5. License Transfer
Licenses are not transferable. You may not sell, assign, or transfer your license to another person.
6. Trial Use
If you install the software without a purchased license, you may use it in trial mode for evaluation purposes. Where available, trial mode provides limited functionality to help you evaluate the software before purchase.
Trial use is permitted for a reasonable evaluation period not exceeding 90 days. Continued use beyond evaluation, including use in professional or commercial work, requires a purchased license.
You agree not to circumvent trial restrictions. Hartley DSP reserves the right to change or withdraw trial functionality at any time.
7. Support
We will make reasonable efforts to provide support for each major version of our software. We may discontinue support for any major version at our discretion.
No support is provided for trial use, although you are welcome to submit bug reports and feature requests, to which we may respond at our discretion.
8. Disclaimer and Limitation of Liability
Your statutory rights as a consumer are not affected by this agreement.
To the maximum extent permitted by law, the software is provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose. We do not warrant that the software will be error-free or uninterrupted.
Except where prohibited by law, our total liability arising from the use of the software is limited to the amount you paid for the relevant license. We are not liable for indirect, incidental, or consequential damages.
9. Third-Party Software
VST is a trademark of Steinberg Media Technologies GmbH.
10. Governing Law
This agreement is governed by English law. Disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
