The Short Version

By using our website or services, you agree to these terms. We provide audio software; you agree to use it lawfully and not to redistribute it. We'll do our best to keep things running, but can't guarantee perfection.

1. Who's Who

"We", "us", "our" - Hartley DSP, operated by Hartley Works Ltd (England and Wales)

"You", "your" - anyone using our website or services

"Services" - our website, user accounts, software products, and related features

2. Your Account

Creating an Account

You can create an account by registering directly or by signing up for our mailing list. Purchasing a product may also create an account automatically.

You agree to:

  • Provide a valid email address
  • Keep your login credentials secure
  • Notify us if you suspect unauthorised access

Account Types

Your account may include different roles depending on how you've engaged with us:

  • Mailing list subscriber - receives marketing communications (with consent)
  • Beta tester - access to pre-release software under the Beta Testing Agreement
  • Customer - purchased products with associated licenses

We May Suspend or Terminate Accounts

We reserve the right to suspend or terminate accounts that:

  • Violate these terms
  • Are used for fraudulent purposes
  • Remain inactive for extended periods (we'll notify you first)

3. Purchases and Licenses

Licence Grant

When you purchase software from us, you receive a personal, perpetual licence to use the purchased version of the software on up to 3 devices.

What the Licence Includes

  • Free updates within the same major version (bug fixes and minor improvements, e.g., 1.1, 1.2 etc).
  • New major versions (e.g., 2.0, 3.0 etc) will require a separate purchase.

What You May Not Do

  • Redistribute, resell, sublicence, or share licence keys.
  • Reverse engineer or decompile the software, except where permitted by law.
  • Use the software for automated processing services (e.g. online mastering) without prior agreement.
  • Use the software to create a competing product or service.

Licence Transfer

Licence transfers are not permitted.

Payment Processing

Purchases are processed by Paddle.com Market Ltd., acting as Merchant of Record. They handle payment, tax, and billing.

Refunds

Refunds are available within 14 days of purchase. See our Refund Policy for details.

Beta Software

Beta software is provided free of charge under the Beta Testing Agreement. Beta licenses are time-limited and may be revoked. Beta software is provided "as is" without warranty.

4. Your Responsibilities

You agree not to:

  • Share, redistribute, or resell our software
  • Reverse engineer, decompile, or modify our software (except where permitted by law)
  • Use our services for unlawful purposes
  • Attempt to gain unauthorised access to our systems
  • Create multiple accounts to abuse promotions or trials

5. Our Responsibilities

We will:

  • Make reasonable efforts to keep services available and secure
  • Respond to support queries in reasonable time
  • Honour valid licenses indefinitely
  • Notify you of material changes to these terms

We do not guarantee:

  • Uninterrupted or error-free service
  • Compatibility with all systems or configurations
  • Specific response times for support

6. Intellectual Property

All content, software, trademarks, and materials on our website and in our products are owned by Hartley Works Ltd or used under license. You may not copy, modify, or distribute them except as explicitly permitted.

7. Limitation of Liability

  • To the maximum extent permitted by law, our software is provided "as is"
  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability is limited to the amount you paid for the relevant product or service

This does not affect your statutory rights as a consumer.

8. Dispute Resolution

These terms are governed by English law. We'll try to resolve disputes informally first. If that fails, disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

For EU/EEA consumers: you may also have the right to use the EU Online Dispute Resolution platform.

9. Changes to These Terms

We may update these terms from time to time. For minor changes, continued use constitutes acceptance. For material changes affecting your rights, we'll notify you by email and may require re-acceptance before you can continue using services.

10. Severability and Entire Agreement

If any provision of these terms is found unenforceable, the remaining provisions continue in full force. These terms, together with our Privacy Policy, Refund Policy, and any applicable Beta Testing Agreement or Entitlements Policy, constitute the entire agreement between you and Hartley DSP.
